    Understanding CBA Forms

Forms of the Commercial Brokers Association, or CBA, are the industry standard for commercial and multi-family investment transactions.  CBA's Purchase and Sale Agreement, though, can be challenging for most investors and many commercial brokers to understand.

Many of us work with brokers when we enter into Purchase & Sale Agreements, many of us do not.  As we all know, not all brokers are created equally; many brokers are powerhouses at finding and analyzing deals but not so much at providing a contract that fully serves our purposes and protects us in the event of a dispute.

As with most things in real estate, we have an obligation to have more than a cursory understanding of what we're doing. It is imperative that we know what we are signing and what each party's obligations are.  What do each of the paragraphs mean?  Should that box be checked?  What if feasibility fails?  Financing?  Can I successfully terminate the contract without a monetary loss?

We'll take a close look at the CBA Purchase & Sale Agreement, look for potential red flags and learn to reduce our risk in the process!

About Our Speaker

Scott R. Scher is a fellow REIA Member and Founding Partner of the Seattle law firm of Sternberg Thomson Okrent & Scher, PLLC. Mr. Scher has practiced commercial and residential real estate law for more than 20 years and has negotiated more than $100 Million in real estate transactions throughout his career. He is also the founding member of fellow REIA Members City Brokers Real Estate, a Seattle commercial and residential real estate brokerage.

Mr. Scher’s practice includes negotiating and drafting commercial and residential purchase and sale agreements, financing agreements for buyers and sellers, and loan workouts and modifications for investors and lending institutions. Mr. Scher’s firm also represents clients with regard to real estate disputes that relate to purchase and sale agreements, escrow and title issues, and commercial leases.

A graduate of Seattle University School of Law, Mr. Scher was named one of Seattle Metropolitan Magazine’s “Top Lawyers”, is rated Rated AV (Highest Rating) by Martindale-Hubbell National Attorney Rating Service, is a licensed real estate broker, a member of the Commercial Brokers Association, served as a Member of the NWMLS Arbitration and Disciplinary Panel (2008-2015), serves as a King County Superior Court Arbitrator and has been admitted to the bar of the United States Supreme Court.  Mr. Scher served as lead counsel for real estate investors in Jametsky v. Olsen, the seminal Washington Supreme Court case concerning RCW 61.34, the Washington Distressed Property Conveyance Act.

Scott and his wife Sarah have a 9 year old son and a toddler that keep them very busy. He also enjoys traveling the world, surfing (only in warm water!), and attending Seahawks and Sounders games.
